An Introduction for Business Owners
Join us for the first Workshop Series of 2015 where we will hear from trusted local advisors from KPMG, HSJ and RBC! During this three part series you, the business owner will be introduced to the essential structural, legal and financial considerations of succession planning.
Session 2 - Lead by Gaurav Parmar, Partner with HSJ
"One of the most fundamental considerations involved in the acquisition of a business is whether the acquisition should be accomplished by a share purchase or by an asset purchase. It is important to consider the acquisition in terms of the legal characterization of the ownership, not just the business.
Nevertheless, the decision as to the manner of acquiring the business can have significant ramifications for the client, both in terms of the immediate costs incurred and in the ongoing operations of the business."
Mr. Parmar will discuss, as time permits: Asset vs. Share Sale, Letters of Intent, Confidentiality issues, Conveyancing Costs, Liabilities, Warranties and Indemnities, Employees, Goodwill, GST, Escrow Agreements, Restrictive Covenants, Security and Commercial financing vs. Vendor financing.
Stanley Mitchell, Tax Partner with KPMG, Trent Heppner and Paul Mercer, Senior Account Managers with RBC will supplement this workshop from a tax and financial point of view. In addition, Heather Oland with Initiatives Prince George will introduce you to their program designed to connect owners of businesses for sale with the investment interest they receive in office.
